1. About Tibby

Tibby is a professional invoicing platform designed for freelancers, independent professionals, and small businesses. We help you create, send, and manage invoices, track payments, and keep your financial administration organised.

Tibby is a service of Blue Rhizome V.O.F., Mathenesserlaan 273 B, 3021 HG Rotterdam, the Netherlands, registered with the Dutch Chamber of Commerce (KVK) under number 76801969. BTW (VAT) number NL860793941B01. These Terms form an agreement between you and Blue Rhizome V.O.F. By creating an account, you agree to them.

These Terms apply to freelancers and businesses using the Platform to send invoices. If you received an invoice and are using the Client Portal to view or pay it, the Client Portal Terms apply to you instead.

“Account Information Provider”

3. Your Account

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform. If you register on behalf of a business, you confirm that you have the authority to bind that business to these terms.

3.2 Registration

You agree to provide accurate and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your password and for all activity under your account.

3.3 One Account per Person

Each person or business entity may create one Freelancer account. Client Portal accounts are linked to the email address where invoices are received.

4. Our Services

Tibby provides the following services:

  • Invoice creation and management — Create professional invoices with customisable templates, multi-currency support, and automatic numbering.
  • Client management — Store client details, track invoice history, and manage your business relationships.
  • Online payments — Accept payments via iDEAL, credit card, bank transfer, Klarna, and Bancontact through Mollie.
  • Banking integration — Optionally connect your bank account via Enable Banking, on a read-only basis. Tibby proposes matches between incoming payments and your invoices; you accept or reject each one.
  • Expense capture — Photograph, upload or forward a receipt or purchase invoice. We send the document to a specialist reading service to extract the supplier, date, amounts, VAT and line items, suggest a bookkeeping category, and pre-fill the entry for you to check. See 4.2.
  • Financial overview — Track revenue, outstanding invoices, and BTW (VAT) obligations.
  • Export and reporting — Export invoices, client data, and financial reports in CSV, MT940, CAMT.053, and UBL formats.
  • Client Portal — Your clients can view, pay, and download their invoices through a secure portal.

4.1 Client Portal — Cross-Provider View

The Client Portal aggregates invoices from all freelancers using Tibby. This means your invoices may appear alongside invoices from other freelancers in your client’s portal dashboard. By using the Platform, you acknowledge and consent to this cross-provider visibility.

Each invoice includes a Tibby-ID on the footer — a pseudonymised client reference that enables cross-provider invoice grouping. The Tibby-ID is derived from the client’s business registration (KVK) number or email address and cannot be used to reverse-engineer the original data.

The portal shows only invoice-level data: invoice numbers, dates, amounts, line item descriptions, and payment status. It does not expose your internal rates, margins, client notes, or any business data beyond what appears on the invoice.

4.2 Expense Capture — What Is Read, And Who Checks It

When you capture a receipt or purchase invoice, the document is sent to Microsoft Azure AI Document Intelligence, which reads it inside the European Union and returns the fields it finds. Tibby then suggests a bookkeeping category and, where you have coded that supplier before, pre-fills your previous choices. Our Privacy Policy describes exactly what is sent, how long it is kept, and what we do and do not do with it.

Reading is automated; filing is not. Every value is shown to you, marked with where it came from, and editable. No expense is recorded in your administration until you confirm it. Tibby proposes — you decide.

Accuracy of a reading. Automated reading is not perfect, particularly on photographs of worn or handwritten receipts. Because every entry passes through your confirmation, you remain responsible for the figures you file, exactly as you would be if you had typed them. Check what Tibby proposes before you confirm it, and keep your own copies of the underlying documents — see 7.1.

5. Pricing & Fees

5.1 Transaction Fee

When your client pays an invoice through Mollie (our integrated payment processor), Tibby applies a standard processing fee of 0.5% of the invoice total. This fee is automatically deducted from the payment via Mollie’s split payment mechanism.

Example

Your client pays a €1,000 invoice via iDEAL. Mollie’s iDEAL fee is €0.29. Tibby’s fee is €5.00 (0.5%). You receive €994.71.

5.2 When the Fee Applies

  • The 0.5% fee only applies to payments processed through Mollie via the Platform.
  • If your client pays by manual bank transfer (outside of Mollie), no Tibby fee is charged.
  • Mollie’s own per-transaction fees apply separately. See mollie.com/pricing for current rates.

5.3 Fee Changes

We will notify you at least 30 days in advance of any changes to the transaction fee via email to the address associated with your account.

6. Payment Processing

6.1 Mollie

Online payments are processed by Mollie B.V., a licensed payment service provider regulated by De Nederlandsche Bank (DNB). Tibby is not a payment processor and does not handle your funds directly.

6.2 Supported Methods

Your clients can pay using iDEAL, credit card (Visa, Mastercard, American Express), SEPA bank transfer, Bancontact, and Klarna. Available methods may vary depending on your Mollie account configuration and your client’s location.

6.3 Settlement

Mollie settles payments directly to your connected bank account. Settlement times depend on the payment method and your Mollie account settings. Tibby does not hold or escrow any funds.

6.4 Refunds

Refunds must be processed through your Mollie dashboard. Tibby provides credit note functionality for accounting purposes, but does not initiate payment refunds on your behalf.

6.5 Bank Connection (Read-Only)

Connecting a bank account is optional. It is handled by Enable Banking Oy, an account information service provider authorised by the Finnish Financial Supervisory Authority, and it is read-only: it lets the Platform see your transactions so it can match them to your invoices. It does not allow Tibby, or Enable Banking on our behalf, to initiate payments, transfer funds, or make any change to your bank account.

You authorise the connection at your own bank. That authorisation expires after 90 days unless renewed, and you can revoke it at any time from Settings or directly at your bank.

7. Your Responsibilities

As a user of the Platform, you agree to:

  • Provide accurate business information, including your KVK number, BTW number, and bank details.
  • Ensure your invoices comply with Dutch tax and invoicing regulations, including correct VAT rates and required fields.
  • Maintain the security of your account and notify us immediately if you suspect unauthorised access.
  • Not use the Platform for illegal activities, money laundering, fraud, or to send misleading invoices.
  • Keep your Mollie and banking integrations up to date and authorised.

Tibby is a tool to help you manage your invoicing. We do not provide tax, legal, or financial advice. You are solely responsible for the accuracy of your invoices and your tax obligations.

7.1 Keep Your Own Records

Dutch tax law requires you to keep your business administration for seven years, and that obligation is yours, not ours. The Platform provides export tools (CSV, UBL, MT940, CAMT.053, PDF) precisely so you can keep your own copies. Please do not rely on the Platform as your only record of your administration.

7.2 Claims Caused by Your Use

If a third party brings a claim against us because of the invoices you issued, the content you entered, the way you used the Platform, or your breach of these Terms, you will compensate us for that claim and for the reasonable costs of defending it. This does not apply to the extent the claim is caused by our own intent or deliberate recklessness.

8. Data & Privacy

Your privacy is important to us. Our Privacy Policy explains what data we collect, how we use it, and your rights under the GDPR. Key points:

  • Your data is stored securely with encryption at rest for sensitive information (bank tokens, OAuth credentials).
  • We do not sell your data to third parties.
  • You can export all your data at any time using our built-in export tools (CSV, UBL, CAMT.053).
  • You can delete your account at any time. Deletion is immediate and permanent: your invoices, credit notes, expenses, receipts and client records are erased along with the account, and we keep no copy. Export your records first — see 7.1.

9. Intellectual Property

The Platform, including its design, code, and brand assets (including the Tibby name and logo), is owned by the Operator. You retain full ownership of your business data, invoices, and client information.

You grant us a limited licence to store, process, and display your data solely for the purpose of providing the Platform’s services. This licence ends when you delete your account.

10. Account Termination

10.1 By You

You can delete your account at any time from Settings. Deletion takes effect immediately and cannot be undone: your account and the business records held in it — invoices, credit notes, expenses, receipts and clients — are erased together, and we retain no copy for ourselves. Because the seven-year retention obligation is yours rather than ours (see 7.1), please export your records before you delete.

One qualification, so this is accurate rather than merely reassuring: our hosting provider keeps encrypted infrastructure backups for a short period for disaster recovery, and those age out automatically. We do not restore deleted accounts from them and we do not use them to retain your data.

10.2 By Us

We may suspend or terminate your account if you violate these terms, use the Platform for illegal purposes, or if your account has been inactive for more than 24 months. We will notify you at least 14 days before termination, except in cases of serious violations.

11. Limitation of Liability

11.1 What We Limit

The Platform is provided “as is.” While we strive for reliability, we cannot guarantee uninterrupted service. This section applies to our liability on any legal basis — in contract, in tort (onrechtmatige daad), for unjust enrichment, or otherwise — arising out of or in connection with this agreement or the Platform. To the maximum extent permitted by Dutch law:

  • The Operator is not liable for any indirect, incidental, or consequential damages, including lost profit, lost savings, or business interruption.
  • Our aggregate liability for all claims arising in any twelve-month period is limited to the greater of the fees charged in respect of your account in that period and €500.
  • We are not responsible for actions taken by Mollie, Enable Banking, your bank, or other third-party services.
  • We are not liable for errors in your invoices, tax calculations, or business decisions.

None of the limitations in this section apply where the damage is caused by our intent or deliberate recklessness, or where mandatory law does not permit them to be limited.

11.2 Who This Section Protects

The exclusions and limitations in this section are agreed for the benefit of the Operator and, as an irrevocable third-party stipulation, also for its partners, its personnel, and any third party it engages to help perform this agreement. Each of them may invoke this section directly against you, on the same terms and in respect of the same claims, on whatever legal basis those claims are brought, as the Operator itself.

11.3 Circumstances Outside Our Control

We are not liable for any failure or delay caused by circumstances outside our reasonable control. That includes outages or changes at Mollie, Enable Banking or your bank, internet or power failures, cyber attacks, and changes in law or regulation. If such a circumstance lasts longer than sixty days, either of us may end this agreement. Ending it on this ground does not affect amounts already due, and we will refund any fees you have prepaid for a period we have not delivered.

11.4 Telling Us in Time

If you believe you have a claim, tell us in writing within 30 days of noticing the problem, so we have a fair chance to put it right. If you do not, your claim lapses to the extent we are prejudiced by the delay.

A claim lapses in any event twelve months after you became aware, or could reasonably have become aware, of the damage, and at the latest two years after the event that caused it — unless mandatory law provides otherwise.

12. Transfer of This Agreement

We may transfer this agreement, together with our rights and obligations under it, to another entity that continues to operate the Platform — for example if we change legal form or transfer the business. You agree in advance to that transfer. Your rights under these Terms are not reduced by it, and we will tell you when it happens.

If you would rather not continue with the new operator, you may dissolve this agreement and close your account with effect from the date of the transfer, at no cost to you.

You may not transfer your account or this agreement to someone else without our written consent.

13. Changes to These Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the Netherlands. Any dispute arising from or in connection with these terms shall be submitted to the competent court in Rotterdam, the Netherlands, unless mandatory law designates another court.

15. If Part of These Terms Does Not Hold

If any provision of these Terms turns out to be void, annulled or otherwise unenforceable, the rest stays in force. The provision concerned is replaced by a valid one that comes as close as possible to its purpose and effect.

This matters most for the limits in section 11, so we say plainly what should happen to them. If the limit in section 11.1 is held not to apply, our liability is instead limited to the greater of the platform fees we retained in respect of your account in the twelve months preceding the event and €5,000. If that limit is also held not to apply, it is limited to €25,000.
